These Terms of Service (“Terms”) govern your access to and use of the Pixly service, operated under ABN 75 642 739 638 (“Pixly”, “we”, “us”, or “our”). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
Questions? Email us at [email protected].
1. The service
Pixly provides a managed, private photo library, hosted on cloud infrastructure and built on Immich, a leading open-source photo management platform. We run and maintain that infrastructure on your behalf, with your data stored in Sydney, Australia.
Pixly is currently in early access. Features and pricing are subject to change, and we will give you reasonable notice of material changes.
2. Your account
To use Pixly you must create an account. You are responsible for:
- Providing accurate registration information.
- Keeping your password confidential.
- All activity that occurs under your account, whether or not authorised by you.
You must be at least 13 years of age to create an account. If you are under 18, you must have parental or guardian consent.
Please notify us immediately at [email protected] if you believe your account has been compromised.
3. Acceptable use
You may use Pixly only for lawful purposes and in accordance with these Terms. You must not:
- Upload content that is illegal, harmful, defamatory, or infringes the rights of others.
- Use the service to distribute malware or engage in any fraudulent activity.
- Attempt to gain unauthorised access to our systems or another user's account.
- Reverse-engineer, scrape, or systematically extract data from the service.
- Resell or sublicense access to the service without our written consent.
- Use the service in a way that exceeds reasonable usage or places excessive load on our infrastructure.
We reserve the right to investigate and take appropriate action, including suspending or terminating accounts, in response to any suspected breach of this section.
4. Your content and intellectual property
You retain full ownership of your photos and media. Uploading content to Pixly does not transfer any intellectual property rights to us.
By uploading content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display your content solely as necessary to provide the service to you. We will never use your content for advertising, AI training, or any purpose beyond operating the service.
You are responsible for ensuring that the content you upload does not infringe the copyright, privacy, or other rights of third parties.
5. Subscriptions and payments
Pixly is offered on a subscription basis. By subscribing, you authorise us to charge your payment method on a recurring basis until you cancel.
- Prices are listed in Australian dollars (AUD) and include GST where applicable.
- You may cancel your subscription at any time through your account settings.
- Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.
- We reserve the right to change pricing with at least 30 days' notice.
6. Service availability
We aim to keep Pixly available at all times, but we do not guarantee uninterrupted access. During early access, the service is provided on a best-efforts basis and we make no uptime commitments.
We may perform scheduled or emergency maintenance that temporarily makes the service unavailable. Where possible, we will give advance notice of planned downtime.
7. Account termination
You may close your account at any time by contacting us at [email protected] or through your account settings. Upon closure, your data will be deleted within 30 days in accordance with our Privacy Policy.
We may suspend or terminate your account if you breach these Terms, fail to pay fees, or engage in activity that is harmful to other users or the service. Where possible, we will give you notice and an opportunity to remedy the breach before terminating.
On termination, your right to access the service ceases immediately. We recommend that you export your photos before closing your account.
8. Limitation of liability
To the maximum extent permitted by Australian law (including the Australian Consumer Law), Pixly's total liability to you for any claim arising out of or in connection with the service is limited to the fees you paid to us in the 12 months immediately preceding the claim.
We are not liable for any indirect, incidental, special, or consequential loss (including loss of data, revenue, or opportunity) arising from your use of or inability to use the service.
Nothing in these Terms limits rights you may have under the Competition and Consumer Act 2010 (Cth), including consumer guarantees that cannot be excluded by law.
9. Indemnity
You agree to indemnify and hold harmless Pixly and its directors, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the service.
10. Governing law
These Terms are governed by the laws of Australia. You and we submit to the non-exclusive jurisdiction of the Australian courts for any disputes arising under these Terms.
11. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the service after the effective date constitutes acceptance of the revised Terms.
